Patrol Forge Master Services / SaaS Subscription Agreement Version: 2026-08-17 Last Updated: August 17, 2026 1. Agreement Overview This Master Services / SaaS Subscription Agreement ("Agreement") governs the subscription, access, and use of the Patrol Forge software-as-a-service platform and related services provided by Patrol Forge LLC ("Patrol Forge," "we," "us," or "our") to the customer, company, agency, association, organization, or other entity using the platform ("Customer," "you," or "your"). This Agreement is intended to work together with the Patrol Forge Terms of Service, Service Level Agreement, 30-Day Money Back Guarantee, Privacy Policy, Acceptable Use Policy, GPS Acknowledgment, Cookie Notice, Data Deletion Policy, Data Processing Addendum, Law Enforcement / Government Request Policy, plan terms, order forms, invoices, online checkout records, written quotes, customer-specific agreements, and any other legal or service documents made available through the Patrol Forge Legal Center or accepted by the Customer. 2. SaaS Services Patrol Forge provides hosted software for security operations, patrol management, dispatch, CAD workflows, GPS activity, reporting, scheduling, checkpoint scans, client portals, employee management, licensing and certification tracking, equipment and vehicle records, vehicle checkout, parking enforcement, parking permits, violation notices, payment-related workflows, collections support workflows, support tickets, onboarding, apps, desktop access, and related operational features. The features available to a Customer may depend on the subscription plan, modules enabled, company configuration, user permissions, payment status, device capabilities, app store availability, and any applicable order form or written agreement. 3. Order Forms, Plans, and Subscription Records Customer subscriptions may be created through online checkout, written quote, administrator setup, invoice, signed agreement, beta invitation, or other Patrol Forge-approved process. The applicable plan, subscription limits, billing cycle, pricing, add-ons, included modules, special terms, beta restrictions, and other commercial details may be shown in an order form, invoice, checkout page, subscription record, plan settings, written quote, or customer-specific agreement. If a subscription record conflicts with a signed written agreement, the signed written agreement controls for that specific conflict. If an order form conflicts with general website marketing text, the order form controls for that Customer's subscription. 4. Incorporated Legal Documents The legal documents available through the Patrol Forge Legal Center are incorporated into this Agreement by reference when applicable to the Customer, Authorized Users, services, data, features, apps, or workflows being used. These may include: - Terms of Service. - Service Level Agreement. - 30-Day Money Back Guarantee. - Privacy Policy. - Acceptable Use Policy. - GPS Acknowledgment. - Cookie Notice. - Data Deletion Policy. - Data Processing Addendum. - Law Enforcement / Government Request Policy. - Customer-specific company acknowledgments. - Plan-specific terms. - Written quotes, order forms, invoices, statements, or add-on terms. - Any other policy, notice, agreement, or addendum made available through the Patrol Forge Legal Center or accepted through the platform. Continued use of Patrol Forge after a legal document is published, updated, accepted, or made applicable may constitute acceptance to the extent permitted by law and the applicable document. 5. Priority of Documents Unless a document expressly states otherwise, conflicts are generally resolved in the following order: 1. A signed written agreement between Patrol Forge and the Customer. 2. A signed order form, written quote, invoice, or customer-specific subscription document. 3. A Data Processing Addendum for matters involving data processing, privacy roles, subprocessors, and customer instructions. 4. The Privacy Policy for Patrol Forge's privacy practices and personal information handling. 5. The Terms of Service for general platform use. 6. This Agreement for SaaS subscription and service relationship terms. 7. Other policies, notices, acknowledgments, plan terms, and Legal Center documents for their specific subject matter. 6. Authorized Users Customer is responsible for identifying and managing all Authorized Users, including administrators, supervisors, officers, dispatchers, employees, contractors, clients, property users, support contacts, and any other users invited or permitted to access Customer's Patrol Forge account. Customer is responsible for ensuring that Authorized Users comply with this Agreement, the Terms of Service, applicable policies, and all laws and rules applicable to Customer's operations. 7. Customer Administration Customer is responsible for company settings, plan configuration, access permissions, rank permissions, user roles, client portal access, parking enforcement settings, payment settings, certification settings, report templates, onboarding scheduling, property and vehicle records, and all other configurations under Customer control. Patrol Forge may provide support, documentation, onboarding, and configuration assistance, but Customer remains responsible for final review, approval, accuracy, and lawful use of its configuration. 8. Customer Data Customer Data means information, records, files, reports, photographs, uploads, notes, GPS records, dispatch records, parking records, permit records, citation or notice records, vehicle records, employee records, client records, property records, payment-related records, audit logs, and other content submitted to, generated in, or stored through Patrol Forge by or for Customer. Customer retains ownership of Customer Data, subject to the limited rights Patrol Forge needs to provide, maintain, secure, support, and improve the services and to comply with applicable law. 9. Accuracy and Authorization Customer represents and agrees that Customer and its Authorized Users will only submit information that they are authorized to submit and that they will use reasonable efforts to keep records true, accurate, complete, lawful, and current. Patrol Forge is not responsible for false, incomplete, inaccurate, unauthorized, unlawful, or misleading Customer Data entered by Customer or Authorized Users. 10. Parking Enforcement and Private Property Records If Customer uses parking enforcement, registered vehicle, permit, tow, notice, collections, or payment-related features, Customer is solely responsible for ensuring that: - Customer is authorized by the property owner, association, manager, client, contract, governing documents, or applicable law to use the features. - Notices, permits, administrative fees, rules, due dates, and communications are accurate. - Customer's parking rules, signs, agreements, notices, governing documents, and procedures are legally sufficient. - Customer does not use Patrol Forge to misrepresent legal authority or issue unauthorized charges. Patrol Forge provides software tools only and does not independently issue parking notices, act as a parking authority, determine violations, guarantee collectability, or verify Customer's legal authority. 11. Security Operations and Reports Patrol Forge provides tools for operational documentation, reports, incident records, dispatch, CAD, patrol verification, GPS records, client communication, and related workflows. Customer remains responsible for officer training, supervisor review, employee conduct, report accuracy, professional judgment, licensing, insurance, compliance, and operational decisions. Patrol Forge is not a law enforcement agency, security company, alarm monitoring company, emergency service, 911 service, or substitute for professional judgment. 12. Apps and Desktop Access Patrol Forge may provide access through web browsers, mobile applications, desktop applications, app store listings, downloadable software, or embedded web experiences. App availability, features, permissions, device support, NFC support, camera access, GPS access, push notifications, and operating system behavior may vary by device, operating system, app store, browser, network, and user settings. Customer and Authorized Users are responsible for maintaining compatible devices, internet access, device permissions, app updates, and secure device practices. 13. Subscription Fees and Payment Customer agrees to pay all subscription fees, add-on fees, usage fees, taxes, late fees, collection costs, and other charges associated with the selected plan or agreed order. Fees may be billed monthly, annually, by invoice, by online checkout, by automatic payment, through a payment processor, or by another Patrol Forge-approved method. Unless otherwise provided by the Patrol Forge 30-Day Money Back Guarantee, required by law, or expressly approved by Patrol Forge in writing, subscription fees are billed in advance and are non-refundable. 14. Plan Limits and Add-Ons Plans may include limits for users, administrators, properties, clients, vehicles, storage, modules, records, reports, features, support levels, retention periods, or other usage categories. Customer may need to upgrade plans or purchase add-ons to exceed those limits. Patrol Forge may recommend a higher plan when requested add-ons would cost more than moving to a higher tier, but Customer remains responsible for selecting the plan that meets its needs. 15. Beta, Trial, and Promotional Plans Patrol Forge may offer beta, trial, promotional, or limited-access plans. Such plans may include special restrictions, user caps, plan-specific terms, temporary pricing, limited support, limited features, feedback obligations, early-access features, or termination rights. Patrol Forge may modify or discontinue beta, trial, or promotional plans as allowed by the applicable plan terms. 16. Suspension and Termination Patrol Forge may suspend or terminate access for non-payment, security risk, unlawful use, misuse, account compromise, plan limit abuse, violation of legal documents, or other reasons stated in the Terms of Service or applicable agreement. Customer may cancel according to the subscription cancellation process. Cancellation stops future renewal charges but does not automatically refund amounts already paid. 17. Support and Onboarding Patrol Forge may provide support tickets, onboarding meetings, documentation, troubleshooting, and other assistance. Support response times, support channels, onboarding availability, training scope, and support level may depend on the subscription plan and Patrol Forge's current support capacity. Customer is responsible for checking spam or junk folders for emailed responses and ensuring that account contact information is current. 18. Service Availability Patrol Forge strives to provide reliable service but does not guarantee uninterrupted or error-free operation unless a separate written service level agreement expressly applies. The services may be affected by maintenance, internet outages, hosting provider issues, third-party outages, device failures, app store delays, browser behavior, operating system restrictions, payment processor issues, mapping provider availability, email delivery limits, SMS or push notification issues, security incidents, or events beyond Patrol Forge's reasonable control. 19. Security and Privacy Patrol Forge uses reasonable administrative, technical, and physical safeguards designed to protect the platform and Customer Data. No security program can guarantee absolute security. Personal information and privacy practices are addressed in the Privacy Policy. Data processing roles and obligations may be addressed in the Data Processing Addendum when applicable. 20. Legal Requests and Government Requests Requests from law enforcement, courts, regulators, and government agencies are addressed under the Law Enforcement / Government Request Policy. Patrol Forge may require valid legal process, may notify Customer when permitted, may narrow overbroad requests, and may preserve or disclose information when legally required or permitted. 21. Confidentiality Each party may receive non-public information from the other. Each party agrees to use reasonable care to protect confidential information and to use it only for purposes related to the services, unless disclosure is authorized, required by law, already public, independently developed, or received lawfully from another source. 22. Intellectual Property Patrol Forge retains all rights in the platform, software, code, design, workflows, documentation, templates, branding, logos, trademarks, service marks, and related intellectual property. Customer receives only a limited right to access and use the services during an active subscription. Customer may not copy, reverse engineer, resell, sublicense, host, rent, lease, or create competing services using Patrol Forge except as expressly allowed in writing or by applicable law. 23. Third-Party Services Patrol Forge may use third-party services for hosting, payment processing, maps, analytics, email, storage, app distribution, security, support, or related functions. Third-party services may be subject to their own terms, availability, security practices, and privacy practices. Patrol Forge is not responsible for outages or conduct of third-party services outside Patrol Forge's reasonable control. 24. Compliance With Law Customer is responsible for complying with all laws, regulations, licensing requirements, employment rules, privacy obligations, industry requirements, property rules, contractual duties, and professional standards that apply to Customer's operations and use of Patrol Forge. 25. Disclaimers Patrol Forge is provided on an "as is" and "as available" basis except as expressly stated in a signed written agreement. Patrol Forge disclaims warranties to the maximum extent permitted by law, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted operation, and error-free service. 26. Limitation of Liability To the maximum extent permitted by law, Patrol Forge will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or similar damages, including lost profits, lost revenue, loss of data, business interruption, customer disputes, employee disputes, property damage, personal injury, wrongful death, or costs of substitute services. Unless a signed written agreement states otherwise, Patrol Forge's total aggregate liability arising out of or relating to the services will not exceed the amount paid by Customer to Patrol Forge during the twelve months before the event giving rise to the claim. 27. Indemnification Customer agrees to defend, indemnify, and hold Patrol Forge harmless from claims, losses, damages, liabilities, penalties, fines, costs, and expenses arising from Customer Data, Customer's operations, Customer's violation of law, Customer's violation of this Agreement or incorporated legal documents, Customer's misuse of the services, or Customer's failure to obtain required rights, permissions, or authorizations. 28. Changes to Agreement Patrol Forge may update this Agreement and related legal documents from time to time. Updated versions may be posted in the Legal Center or presented for acceptance inside the platform. Continued use after an update becomes effective may constitute acceptance to the extent permitted by law. 29. Governing Law and Venue Unless a signed written agreement states otherwise, this Agreement is governed by the laws of the State of New Mexico, without regard to conflict of law rules. Venue for disputes will be in the state or federal courts located in New Mexico unless applicable law requires otherwise. 30. Acceptance By creating an account, subscribing, accepting an order, accessing the platform, using the services, or allowing Authorized Users to use Patrol Forge, Customer agrees to this Agreement and the applicable legal documents incorporated by reference.
